Terms and Conditions

Sales Tax

Deluxe is required by law to collect and remit applicable state and local tax in all US states that administer a sales tax. Please consult your tax advisor. Companies, individuals and organizations who are exempt from sales tax can provide us with a copy of their resale or exemption certificate by fax to 800.734.2179 or email.

Credit Terms

Credit terms will be decided upon receipt of completed credit application. If you are approved for payment terms, late payment of invoice will result in a 1.5% finance charge or the maximum charge permitted by law. You agree to pay all the company’s reasonable attorney’s and collection agency fees incurred in the collection of any amount owed after term of payment expires.

Acceptance of Terms

Submission of an online order and/or your signature on our Order Acknowledgment is a conditional acceptance by Deluxe of your offer to purchase our goods and your acceptance of our terms and conditions. It may contain terms that differ from or add to those contained in your purchase order, should you have one, and to the extent that this is the case, Deluxe hereby expressly conditions its acceptance of your offer on Deluxe’s agreement of the additional or different terms. Your receipt and retention of the goods covered by this invoice shall constitute acceptance of any such additional or different terms.

Returned Checks

Checks returned for insufficient funds will be assessed an additional $50 charge.

Shipping Delays

Deluxe is not liable for delays in delivery caused by acts of God or other circumstances beyond our direct control. Shipment and delivery dates are the best estimates of our suppliers, and Deluxe is not liable for any consequential or special damages arising from any delay in delivery.

Shipping Charges

Deluxe is committed to estimating shipping charges as accurately as possible. However, on rare occasions, we may underestimate or overestimate the shipping charges on your order. In such event we may make reasonable authorized adjustments to your shipping charges. You also have the option to provide us with a shipping account number (a small handling charge may apply). You will always be contacted about additional charges. Refusal of charges may delay delivery of your order.

Transfer of Ownership of Merchandise

All products become your property at the time they are accepted by the shipping service.

Warranties

Deluxe represents and warrants that all goods sold are free of any security interest and will make all transferable warranties made to Deluxe by the manufacturer of the goods. Deluxe and its subsidiaries and affiliates and its and their officers, directors, employees, agents, partners and licensors expressly disclaim all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose and non-infringement.

Limitation of Liability

IN NO EVENT WILL DELUXE BE LIABLE FOR ANY INDIRECT, SPECIAL, CONSEQUENTIAL, INCIDENTAL, EXEMPLARY, OR OTHER DAMAGES WHETHER OR NOT DELUXE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGE. DELUXE’S ENTIRE LIABILITY UNDER, FOR BREACH OF, OR ARISING OUT OF PROVIDING THE PRODUCTS HEREUNDER, IS LIMITED TO A REFUND OF THE FEES PAID FOR THE PRODUCT THAT GAVE RISE TO THE CLAIM. IN NO EVENT SHALL DELUXE BE LIABLE FOR YOUR COST OF PROCURING SUBSTITUTE GOODS.

Indemnification

You will defend and hold Deluxe harmless in any claim, suit or action brought against Deluxe by others for alleged damages, costs, expenses (including reasonable attorney’s fees), liabilities or losses resulting from circumstances where Deluxe, acting as your agent, uses copy, photographs, or illustrations that are believed by others to be degrading, libelous or harmful to their reputations, images, or standing in the community or which in Deluxe’s sole judgment is an infringement on a trademark, or trade name, or service mark, or copyright belonging to others.

Consistency of Merchandise

Deluxe encourages you to take the opportunity to review a sample of the actual product before you place your custom order. It is important that, however, that you understand that these samples are representative in nature. While we are very careful about the suppliers and manufacturers we use, manufacturing variations are unavoidable on such large scale production. By choosing to place an order with Deluxe , you are agreeing to accept merchandise with reasonable manufacturing variances in product material, color and packaging. The most common example of this is apparel dye-lots.

Cancellations and Alterations to Existing Orders

Once an Order Acknowledgment is approved, we can’t guarantee our ability to make changes or cancellations to an order. We will make every effort to comply with your request. If you have already signed your Order Acknowledgment, there will be a minimum charge of $50.00 to cover order entry and preparation expenses. In addition, you are liable to pay the agreed upon price for any work that may have been completed up to the time that we are able to cancel/change your order. These charges may include but are not limited to setup charges, artwork preparation charges, shipping charges and restocking fees. All completed work and costs incurred will be your responsibility.

Claims, Adjustments and Returns

If you have any problems with your order please contact customer service at the phone number located on our website within 15 days of receipt. We advise opening your merchandise to review its quality even if you do not intend to use it right away. After such time we may be unable to go back to our suppliers for credit. Please have your order number available. We do not accept unauthorized returns. If any problem arises, please call customer service immediately. If necessary we will issue an RMA number (Return Material Authorization) and provide you with a special shipping address.

Overages and Shortages

Deluxe will make every effort to produce your order in the exact quantity ordered, but this is not always possible due to quality control efforts and fast running machines. In the event of an overage Deluxe does not charge for products produced above the quantity ordered. If less than the amount ordered is shipped, we will credit the difference to the account on the order, but we may be unable to produce the remaining product.

Site Pricing

Deluxe strives to keep our site up to date; however, occasional fluctuation in market conditions may change the price of a product. Our goal is to honor the pricing shown on the site, however, we reserve the right to change published prices of product offered on our site at any time. If a published site price is incorrect on an item you have quoted or ordered, we will contact you immediately with the most updated price or help you choose a different item that is within your budget.

Site Images

Deluxe makes every effort to provide clear and color-correct product images on our site that best reflect the true nature of the products. However, web site images are inherently limited in their ability to accurately show color, scale, and detail. Please be careful about making assumptions about products from the site image alone. We strongly urge our customers to order actual samples. If you choose not to evaluate a physical sample, we cannot be held responsible for the difference between the image as it appears on your monitor and the final product. Images may also reflect imprint methods or accessories that are not included in the price as shown. If the options you require are not available at checkout, please call us for details.

Price Match Guarantee

No one wants to trade service and quality just to save a few pennies. At Deluxe we offer great pricing and great service. To make sure you never have to choose between service and price, we have a price match guarantee: if you find the same item at a lower price, we’ll match that price. Just give us a call and let us know where you found a price that beats ours. As long as it is the same item, from the same manufacturer with the same options, we’ll match it.

Special Offers

Deluxe enjoys providing valuable special offers to our customers. Unless stated otherwise, all special offers are subject to the following standard terms and conditions:

  • Each offer may only be used one time per customer.
  • Special offers may not be combined on a single order.
  • When qualifying for special offers order size does not include shipping, tax or additional imprint colors/locations.
  • Special offers and coupons are only valid on orders purchased at listed pricing.
  • Special offers may not be valid on certain items.
  • To redeem any special offer, the coupon code must be given at the time of ordering.
  • Specials may not be added to price match guarantee.

Jurisdiction and Governing Law

The Deluxe terms and conditions and the provisions of products to you and all matters arising out of or relating thereto will be governed by the laws of the State of Minnesota without regard to its conflict or choice of law provisions. Any legal action or proceeding relating to this agreement or the provision of the Products offered by Deluxe will be brought in the state or federal courts located in Minnesota. You hereby submit to the jurisdiction of and agree that venue is proper in those courts in any such legal action or proceeding.
